OM OutpostMediation

Terms and Conditions

Version 2026-10-10-draft-4

Draft for review — not effective terms or an approved privacy notice. Public registration and live confidential intake are not enabled. Production provisions below describe proposed operations and must be verified before launch.

1. Provider, scope and acceptance

OutpostMediation (OM) is software offered by Outpost Legal Solutions, LLC (OLS, we, us). These Terms govern the office customer purchasing or receiving access and each authorized office user. The accepting office administrator represents that they have authority to bind the office. Each user must independently accept the applicable user terms before access. A participant receives a separate participant notice and applicable access terms; an office administrator cannot waive a participant’s rights by accepting these Terms. An order form identifies the subscription, price and term. No paid obligation arises merely from viewing these pages.

2. Software services and professional responsibility

OM supports mediation case administration, questionnaires, document preparation and office records. OLS, LLC is not a law firm and does not provide legal advice, legal representation, or mediation services through OutpostMediation. Use of OM does not create an attorney-client relationship with OLS, LLC. Mediators and their offices provide their own professional services under separate agreements; their use of OM does not make them employees or representatives of OLS. OLS does not act as the mediator, represent either party, provide legal advice through OM, determine legal rights, perform the office’s conflict check, file documents, monitor court dockets, or guarantee a settlement or court acceptance. Attorney and non-attorney mediators retain their respective professional obligations. The office alone selects qualified mediators and makes professional judgments about suitability, safety, conflicts, deadlines, court requirements and participant communications. OM is not an emergency service.

3. Review of every output

It is the mediator’s responsibility to review and verify every OM output, underlying submission, calculation, deadline, required disclosure, current district rule, court form and intended recipient before reliance, use, filing or distribution. Statements and estimates supplied by parties may be incomplete or disputed. Status flags and summaries do not determine credibility or legal compliance. A generated deadline is an administrative aid; the office must verify the controlling order and any exception. A draft settlement summary is not a court order or an executed agreement solely because OM created it. Preserve appropriate software attribution and review notices when distributing generated outputs, except where official form requirements require an accompanying notice instead.

4. Accounts and authorized access

Each user must use their own credentials, enable required multifactor authentication, protect devices and authenticator secrets, and promptly report suspected compromise. Sharing accounts, impersonating another person and bypassing access controls are prohibited. Office administrators are responsible for invitation authority, appropriate case assignments, staff access, removing departing users and verifying participant identity through the approved process. Administrative or billing authority does not itself confer access to case or safety information. Restricted safety answers must not be shared with the other party through ordinary summaries, comparisons, email or exports. Users must follow protective orders, safe-contact instructions and applicable confidentiality duties.

5. Customer information and permitted processing

The office retains its rights in its records and mediator-supplied materials; individuals retain rights provided by law. The office represents that it has a lawful basis and necessary authority to provide information, including information about children and third parties, and must provide appropriate participant notices. Do not submit unnecessary Social Security numbers, account credentials, full payment-card data or other information the service does not request. The office grants OLS a limited right to host, process, reproduce and transmit customer content only to deliver, secure and support the service, comply with law, and carry out documented customer instructions. This is not a transfer of ownership or a license to sell content or train general-purpose AI models. Production processing will also be governed by an approved data-processing agreement.

6. Mediator agreements and uploaded documents

Each mediator must supply and approve their own agreement wording and policies and have the authority to use uploaded materials. OLS does not warrant the enforceability, sufficiency, legality or suitability of a mediator’s agreement. The mediation agreement is between its named mediator and parties; OLS is not made a contracting party by providing software or a footer. The office must verify merge fields, fees, party shares, signature requirements and final documents. Template revisions do not retroactively amend issued or signed agreements. The office must preserve originals and required records and confirm that any electronic signature process meets applicable requirements.

7. Acceptable use and intellectual property

Use OM only for lawful, authorized purposes. Do not upload malicious files, infringe rights, harass participants, attempt unauthorized access, scrape confidential records, overload the service or disclose private information without authority. Subject to these Terms and the subscription, OLS grants a limited, nonexclusive, nontransferable right to use the service for the office’s authorized operations. OLS retains rights in OM software, branding and documentation; this does not claim ownership of customer agreements or case content. Feedback may be used to improve OM without compensation, but do not include confidential case details in feedback.

8. Subscription, fees and external services

The proposed subscription is one fee per office, including authorized mediators and staff within the purchased plan. Final prices, limits, taxes, payment schedule, renewal, cancellation and refund terms must be clearly disclosed before purchase. No automatic renewal is authorized without express agreement to the disclosed terms. The pilot does not enable subscription billing. Mediation fees are paid directly through the mediator’s chosen arrangements, not processed by OM; a manually recorded paid status is not proof of settlement of funds. Third-party payment, signature and communication services have their own terms. OLS remains responsible for obligations it cannot lawfully delegate.

9. Availability, changes and security

OLS will use reasonable measures appropriate to the service to protect information, but no system can guarantee uninterrupted access, absolute confidentiality or freedom from security incidents. Maintenance, outages and third-party failures may occur. The office must maintain a practical alternative for urgent deadlines and appropriate independent records. OLS may improve features and address threats but will not use this clause to retroactively change accepted fees or materially reduce paid core functionality without notice and appropriate remedies. Security incident communications and legal notifications will follow applicable law and the data-processing agreement.

10. Suspension, termination and records

OLS may restrict access proportionately for material nonpayment, unlawful use, credible security risks or material breach. Where practicable, OLS will give notice and an opportunity to cure; immediate restriction may be needed to protect information or comply with law. The office may end service under its order terms. If OLS ends a prepaid service for convenience, the office will receive a prorated refund of unused prepaid fees. Termination does not authorize destruction contrary to law or legal hold. Export opportunities, deletion timing and backup expiry must be disclosed in the approved retention schedule and data-processing agreement before live data is accepted. Office professional retention duties remain with the office.

11. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS OBLIGATIONS IN AN EXECUTED ORDER OR DATA-PROCESSING AGREEMENT, OM AND ITS OUTPUTS ARE PROVIDED AS IS AND AS AVAILABLE. OLS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND DOES NOT WARRANT LEGAL OUTCOMES, COURT ACCEPTANCE, ACCURACY OF USER INPUT OR UNINTERRUPTED OPERATION. Nothing excludes rights or warranties that cannot lawfully be excluded or excuses OLS from express contractual obligations.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLS AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION, ARISING FROM OM. OLS’S AGGREGATE LIABILITY ARISING FROM THE SERVICE UNDER ANY LEGAL THEORY WILL NOT EXCEED THE GREATER OF $100 OR THE OFFICE’S FEES PAID TO OLS FOR OM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply only where enforceable and do not limit liability for fraud, willful misconduct, gross negligence, or liabilities or remedies that applicable law prohibits limiting. These provisions do not shift nonwaivable privacy, breach-notification or professional duties away from the responsible person. Counsel must review this allocation, including its application to confidentiality and security claims, before effectiveness.

13. Limited customer indemnity

To the extent permitted by law, the office will defend and indemnify OLS against third-party claims and reasonable associated costs arising from the office’s unlawful disclosure of information, infringement by customer-supplied materials, unauthorized use, or material violation of these Terms. This does not apply to the extent a claim results from OLS’s breach, negligence or misconduct. OLS must promptly notify the office, cooperate reasonably, and permit control of the defense subject to suitable counsel. No settlement may admit fault by OLS, impose nonmonetary obligations on OLS, or fail to release OLS without its written consent. This obligation applies to office customers, not mediation participants solely submitting intake.

14. Disputes and governing law

Iowa law governs, excluding conflict-of-law principles, subject to mandatory applicable law. Parties will first attempt in good faith to resolve an office subscription dispute through written notice and discussion, without delaying urgent relief, statutory notices or limitation periods. Courts with appropriate jurisdiction in Iowa will hear disputes, except where mandatory law requires otherwise. These draft Terms do not impose arbitration, waive a jury trial or waive class proceedings. Neither dispute procedures nor these Terms waive mediation privilege, require disclosure of protected communications, or prevent reporting to regulators or seeking protective relief.

15. Changes, notices and general provisions

Material changes will be presented with a new version and effective date before taking effect; renewed assent will be required where appropriate. Continued use is not a substitute for affirmative acceptance of materially changed terms where such acceptance is required. If a clause is unenforceable, the remaining provisions apply to the extent lawful. Failure to enforce a provision is not a waiver. These Terms, the applicable order and data-processing agreement form the software service agreement; a negotiated agreement controls an actual conflict within its scope. OLS may assign the service in a business transfer only subject to applicable law and continuing contractual privacy obligations. Questions and legal notices may be directed to jody@outpostlegalsolutions.com. Do not email confidential intake or safety details. The entity name, notice address and monitored contact must be confirmed before launch.
